Amendment of 2015 Equity Incentive Plan
As noted below, on June 10, 2020, the stockholders of NantKwest, Inc. (the Company) approved the amendment of our 2015 Equity Incentive Plan, as amended, to increase the number of shares of common stock reserved thereunder by 3,000,000 shares. The Amended and Restated 2015 Equity Incentive Plan is described in more detail in the Companys 2020 Proxy Statement, which was filed with the Securities and Exchange Commission on April 24, 2020. The foregoing description and the summary contained in the Companys 2020 Proxy Statement do not purport to be complete and are qualified in their entirety by reference to the full text of the Amended and Restated 2015 Equity Incentive Plan, which will be filed with the Companys quarterly report on Form 10-Q for period ended June 30, 2020.

We held our 2020 annual meeting of stockholders on June 10, 2020 (the Annual Meeting). Of the 98,498,432 shares of our common stock outstanding as the record date of April 16, 2020, 89,939,212 shares were represented at the Annual Meeting, either in person or by proxy, constituting approximately 91.31% of the outstanding shares of common stock. The matters voted on at the Annual Meeting and the votes cast with respect to each such matter are set forth below:
